Terms of Service

Private beta — data is not guaranteed
Dfensible is in a private beta for invited practices. By using it during this phase you accept that:
- Data is not guaranteed. Client records, documents, profiles, memos and journey findings may be changed, reset, or lost without notice. We make no promise about durability or recoverability during beta.
- It is not your system of record. Do not rely on Dfensible as the only place a client document or figure exists. Keep your own copies of anything you cannot afford to lose, in whatever system your practice already uses.
- Availability is not guaranteed. The service may be interrupted, and features may be added, changed or removed without notice. The beta is not the finished product.
- Your professional duties are unchanged. Nothing here reduces your obligations to your clients or to any body that licenses you. Every determination remains yours.
- Liability. To the maximum extent the law allows, we are not liable for damages arising from data loss, interruption, or any other aspect of beta use.
- Leaving beta. When the product becomes generally available, accounts and data may or may not carry over. We will make reasonable efforts to tell you in advance.
Who these terms are between
These terms are an agreement between Nestworthy Inc. (“we”) and the professional or firm that opens a practice in Dfensible (“you”). Clients who use a portal link do so under the practice's engagement with them; the portal terms are the short notice shown on the portal itself.
What Dfensible is, and is not
- Dfensible is software. It organizes client facts, reads documents into proposals, and drafts planning notes for your review.
- It is not a CPA, enrolled agent, attorney or financial advisor, and it gives no tax, legal or financial advice. Every reading and every draft is an estimate; you decide what is true and what to do.
- It does not prepare or file returns, does not file forms with any tax authority, and does not represent you or your clients.
- You are responsible for every determination, election and filing made with its help, and for complying with your professional obligations, including confidentiality of client information and any consent required to process it.
Your practice, your clients
- You may only add clients whose information you are entitled to hold, and you must have any consent your obligations require before uploading their documents or sending them a portal link.
- You are responsible for who you make a member of your practice and for keeping your sign-in secure. Every read of a client file is logged with the member who made it.
Acceptable use
- No unlawful content, no malware, no attempts to access another practice's data, no probing of the service beyond good-faith security research reported to us.
- Reasonable use of document reading and drafting: we may limit volume to protect the service and will tell you when a limit applies.
Fees
The private beta is free. If we introduce paid plans we will give at least 30 days' notice, and nothing you have stored will be held hostage: export and closure remain available.
Ending
- You can close your practice at any time from Settings. Records are retained under our retention schedule and then removed.
- We may suspend or end access for a breach of these terms, with notice where the law allows, and we will give you a reasonable opportunity to export your records.
Liability
The service is provided as is during the beta. To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability to you for any claim is limited to the amounts you paid us in the twelve months before the claim (which, during a free beta, is nothing). Nothing here limits liability that cannot be limited by law.
Privacy and security
How we handle data is in the Privacy Policy; how it is protected is on the Security page. Both are part of these terms.
Governing law and changes
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. We may update these terms; material changes are announced by email at least 14 days before they take effect. Continued use after that date is acceptance.
